What is a Private Placement?
AA Private Placement Memorandum (PPM) is the document used along with the Operating Agreement to start the registration process for a Fund. It is registered with the Securities Exchange Commission (SEC) allowing the legal pooling of capital from more than two investors into a single account for investment. The PPM is the disclosure document, used in the same manner as a stock prospectus in a public company. Are there options for my investment?

  • We offer multiple Real Estate Funds, diversity in the Liberty Creek Real Estate Fund, LLC provides acquisitions in all aspects of the markets we participate, including residential and commercial. Specific investments in our Freedom, Discovery and Independence Real Estate Funds are directed at REO’s, Multifamily, RV and Mobile Home parks.
  • We have two structures for investors. For growth Investors, membership in one of our Funds allows for both a preferred return and a split of the retained earnings when the Fund closes. Is the Investment diversified?
AYes, in all of our Funds, diversification is achieved by multiple assets in locations throughout the United States. The Liberty Creek Real Estate Fund offers the most diversity as it acquires assets in all disciplines of the Residential and Commercial markets that we participate in. Our specific Real Estates Funds are directed at individual aspects depending on the main goal of that Fund. In all Funds, capital is secured by real property purchased at values well below the current market retail price.

How is Liberty Creek paid an annual management fee as well as a transaction fee as assets are bought and sold?
AAs the Manager of the Fund, we are paid an annual management fee of 1 ½%. We are also paid a 1 ¾% fee for each transaction within the Fund. Costs are reimbursed at the value. We also participate at the close of each Fund after a preferred rate of return is paid to the Members.

Capital in all Funds is maintained in accounts held by a third party Fund Administrator for transparency and security. Liberty Creek only directs where payments are made, the administrator verifies they are in accordance with the Operating Agreement of the Fund.

What is a Fund Administrator?
AA Fund Administrator is an independent company that is employed directly by a Fund to provide oversight of all financial activities for the Investors. The Administrator manages cash, approves payments to vendors, maintains that legal documentation is in proper order and provides all financial reporting for the Fund.

What is a Distressed Property?
AThe simple answer to this is a property that in poor physical or financial condition. Most everyone believes it to be in Foreclosure or default, but many properties are in a situation of undervalued because of condition or occupancy. Liberty Creek seeks assets that are undervalued to the market. Some examples: are:

  • Mortgage Notes in non performance
  • Bank Owned properties that have fallen in disrepair
  • Multifamily that is under occupied and in need of repositioning
  • REO’s that are underperforming

Do I have to be a Partner in a Company?
AThere are two ways of investing in our Funds. You can subscribe in a Fund as a Member and receive preferred returns with a percentage of the retained earnings when the Fund closes. Or you can invest as a Note holder where the Fund issues you a defined interest rate paid quarterly and you will not be a Member in the Company.

In either event, you are investing passively with no involvement and are indemnified, not held liable per the Operating Agreement for the Companies.

I thought the Market had Rebounded?
AThis statement is true, to a certain extent. From the worst conditions of 2008 the market defaults have been reduced substantially. Unfortunately, there is an extreme backlog of properties and new defaults that are 400% above what is considered normal. The statistics listed in The Market section of the Web Site tell the current story.

We expect the distressed market opportunity to continue for many years to come.

What is Equity versus Note Investing?
AThe main difference is what we term Income versus growth investing. Note investments are paid a stated rate of Interest, we issue this payment quarterly to the Investor. It is an excellent method for those investors needing a fixed income on their investments. These investors do not become Members of the Fund and are in a first position for repayment of debt before the Members shares.

Equity or growth investing is where the Investor subscribes to the Fund and becomes a Member, retained earnings are reinvested for growth in the Fund and the Equity is divided after a preferred rate of return to the Members at the close of the Fund. The returns are generally higher but the risk is as well as the shares are not considered debt and are returned after debt is paid at the close of the Fund.

How do I know you can meet your Objectives for Returns?
AThere is no guarantee that we will meet our projected return goals. We take every precaution in the acquisition phase to purchase undervalued property that has substantial equity for future income. Our experienced team evaluates these properties in several different exit strategies to try and assure that we purchase property or Notes with the highest returns possible.

What is the difference between Residential and Commercial?
AResidential is any property up to and including a 4 unit building that houses people. Single Family Homes, Duplexes, Townhomes, Condos and 1-4 unit buildings.

Commercial is everything else in Real Estate. This is very board and we only participate in Multi Family apartments, RV Parks and Mobile Home Parks.
